These Terms & Conditions apply to goods supplied by Walkers Cycle Components Ltd (“Walkers”, “we”, “us” or “our”).

Our website and trade ordering service are intended primarily for customers purchasing goods in the course of their business or trade.
By placing an order with us, you agree to these Terms & Conditions.

Prices
All prices shown are exclusive of VAT unless otherwise stated. VAT will be charged at the applicable rate.
Prices may be changed without prior notice. We also reserve the right to amend product specifications, descriptions and other product information where necessary.
We make reasonable efforts to ensure that product descriptions, specifications and prices are accurate. If an error is identified after an order has been placed, we will contact you where appropriate before fulfilling the affected part of the order.

Orders
All orders are subject to availability and acceptance by Walkers Cycle Components Ltd.
We reserve the right to decline or cancel an order where reasonably necessary, including where a product is unavailable, a pricing or product information error has occurred, payment cannot be authorised, or an account is overdue or otherwise restricted.
Where payment has already been taken for goods that we are unable to supply, the appropriate amount will be refunded to the original payment method.

Carriage
Orders over £125.00 net (excluding VAT) qualify for carriage-paid delivery to our standard UK mainland delivery areas.
Orders of £125.00 net or less will be subject to a carriage charge of £7.99 net plus VAT.
Delivery charges to Northern Ireland, the Scottish Highlands and Islands, and other areas subject to additional courier charges may vary. Where applicable, carriage will be agreed according to the delivery location.
Any applicable delivery charge will be shown or agreed before the order is completed.

Delivery
We aim to dispatch orders received before 2:00pm Monday to Friday for delivery on the next working day, subject to stock availability, courier services and circumstances outside our reasonable control.
Orders placed on a Friday will normally be delivered on the following Monday. Where a Bank Holiday affects the delivery schedule, delivery will normally take place on the next available working day.

Delivery times are estimates and, although we make every reasonable effort to meet them, we cannot guarantee next-working-day delivery where circumstances outside our reasonable control prevent this.
Some of our promotions may not include next working day delivery.

Payments
Approved Credit Accounts
Customers with an approved credit account must make payment no later than 30 days from the invoice date, unless alternative terms have been agreed in writing.

If an account becomes overdue, we reserve the right to place the account on hold and withhold further orders until all overdue amounts have been settled.
Persistent failure to comply with agreed payment terms may result in the withdrawal of credit facilities and the account being changed to pro-forma/payment-before-dispatch terms.
We reserve the right to charge statutory interest and applicable debt recovery costs on qualifying overdue commercial debts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, as amended.
Returned cheques may be subject to an administration charge of £10.00.

Card Payments
Where an order is paid for by debit or credit card, payment will be processed through the secure payment services made available on our website.
If an item paid for by card is subsequently unavailable when the order is picked, we will refund the amount charged for the unavailable item to the original payment method.

Retention of Title
All goods supplied by Walkers Cycle Components Ltd remain our property until we have received payment in full for those goods.
Until ownership has passed, goods must not knowingly be disposed of in a way which prevents us from exercising our rights in respect of unpaid goods.
Where legally permitted, we reserve the right to recover goods for which payment remains outstanding.
Risk in the goods passes to the customer upon delivery.

Returns, Cancellations & Refunds
If you wish to return an item, please contact us or your Walkers representative before returning the goods wherever possible.
Where appropriate, your representative may arrange to collect the goods and inspect them before they are submitted for credit.
Returned goods should be accompanied by:
the reason for the return;
the relevant invoice number or order details; and
any other information reasonably required to identify the purchases

Where collection by a representative is not available, goods may be returned to us for inspection and processing following contact with us.
Goods returned because they are no longer required or were ordered incorrectly may only be accepted for credit at our discretion. Goods must normally be unused, in a resaleable condition and in their original packaging
Special-order, customised or non-stock items may not be eligible for cancellation or return unless faulty or otherwise agreed by us.
Any refund that we approve will normally be made using the original payment method where applicable.
These terms are primarily intended for business-to-business transactions. Business customers do not automatically have the same cancellation rights that apply to consumers purchasing goods for personal use.
Nothing in these Terms & Conditions is intended to exclude any rights or remedies which cannot legally be excluded.

Faulty Goods & Warranty Claims
Faulty or defective goods should be reported to us as soon as reasonably possible after the fault is discovered.
We ask that warranty or faulty-product claims are normally reported within 90 days of the invoice date wherever possible so that we can investigate and process the claim promptly.
Depending on the circumstances and the manufacturer’s applicable warranty, faulty goods may be repaired, replaced or credited following inspection.
The 90-day reporting period above is our normal claims procedure and does not remove any legal rights or manufacturer’s warranty rights which may apply beyond that period.
Proof of purchase and details of the reported fault may be required before a claim can be processed.

Shortages & Damaged Deliveries
Please inspect deliveries as soon as possible after receipt.
It is particularly important that the number of parcels received is checked against the courier’s Proof of Delivery before the delivery is accepted.
If parcels are visibly damaged, or the number of parcels received does not match the delivery, this should be noted with the courier at the time of delivery wherever possible.
Please notify Walkers Cycle Components Ltd of any shortage, visible damage or delivery discrepancy within 24 hours of delivery wherever reasonably possible.
Prompt notification is important because courier claims may be subject to strict reporting deadlines.
We will investigate reported shortages and damage and deal with claims according to the circumstances of each delivery.

Product Information
We make reasonable efforts to ensure that photographs, descriptions, specifications and other product information displayed on our website are accurate.
Manufacturers may occasionally alter product specifications, packaging, colours or other details without prior notice.
Images are provided for illustration purposes and minor differences may occur between images displayed and the goods supplied.

Availability
All products are subject to availability.
Stock information shown on our website is provided in good faith but may occasionally differ from actual availability due to orders being processed, stock discrepancies or other circumstances.
If an item is unavailable after an order has been placed, we may contact you regarding an alternative, place the item on back order where appropriate, or refund the affected item where payment has already been taken.

Liability
Nothing in these Terms & Conditions excludes or limits liability where it would be unlawful to do so.
To the extent permitted by law in a business-to-business transaction, Walkers Cycle Components Ltd will not be liable for indirect or consequential business losses arising from the supply or use of goods.
Customers remain responsible for ensuring that products purchased are suitable for their intended application unless we have expressly agreed otherwise.

Events Outside Our Control
We will not be responsible for delays or failure to perform our obligations where caused by events outside our reasonable control, including courier disruption, severe weather, industrial action, interruption to transport networks, supplier shortages, failure of telecommunications systems, natural disasters or other comparable circumstances.

Privacy & Personal Information
Personal information provided to Walkers Cycle Components Ltd is processed in accordance with our Privacy Policy, which is available separately on our website.

Changes to These Terms
We may update these Terms & Conditions from time to time.
The Terms & Conditions applicable to an order will normally be those in force at the time the order is placed.

Governing Law
These Terms & Conditions and any contract between us are governed by the laws of England and Wales.
Unless otherwise required by law, the courts of England and Wales will have jurisdiction in relation to disputes arising from these Terms & Conditions.
